These Terms of Use govern your use of the HirePrism website and platform. HirePrism (“HirePrism,” “we,” “us”) provides recruiting services that source, vet and introduce candidates to employers. Please read these terms carefully. They include how placement fees work and what our guarantees cover.

1. Agreement to these terms

You accept these terms when you create an account, check the box agreeing to them, or launch a search. If you use HirePrism on behalf of a company, you confirm that you are authorized to accept these terms for that company, and “you” means both you and the company.

If your company has signed a separate written agreement with HirePrism, that agreement controls where it conflicts with these terms.

2. Who can use HirePrism

HirePrism is for businesses hiring employees, and for candidates we invite to join the platform. You must be at least 18 years old and able to form a binding contract. Client accounts must be created with a work email address at the hiring company.

3. Accounts

  • Give us accurate, current information, and keep it up to date.
  • We sign you in with links sent to your email. Keep access to your email account secure, and don’t forward sign-in links.
  • You’re responsible for activity under your account. Tell us right away at [email protected] if you think your account has been accessed without permission.

4. The service

When you launch a search, you approve a written summary of the role and its requirements. We then source candidates against that summary, record an intro video and a detailed screener with each finalist, conduct reference checks at the appropriate time, and introduce finalists to you.

  • We don’t guarantee that a search will produce a hire, or how quickly.
  • You make all hiring decisions, including interviews, offers and terms of employment. Candidates are not our employees, and we are not a party to any employment relationship you form.
  • You agree to comply with employment, anti-discrimination and privacy laws that apply to your hiring, and not to use HirePrism to evaluate candidates on any basis the law prohibits.
  • The 14-day target and three-interview process are goals, not conditions of these terms.

5. Good-faith hiring intent

HirePrism sources and vets candidates for real hiring needs. By launching a search, you confirm that:

  • The role is open, approved and budgeted, and you intend to fill it.
  • You intend, in good faith, to hire a qualified candidate HirePrism introduces who meets the requirements in your approved search summary.
  • You are not using HirePrism to benchmark candidates, gather market or compensation data, or build a candidate pipeline for another recruiter, agency or internal team.
  • You will review introduced finalists and respond within 5 business days, and give specific, job-related feedback when you pass on a candidate.
  • You will tell us within 2 business days if the role is put on hold, cancelled, changed, or filled from another source.

Search continuation retainer

Your approved search summary is the standard every candidate is measured against. If you decline the first three finalists we introduce who meet its requirements, or whom you chose to interview even if they didn’t meet every requirement, we may pause the search.

To resume a paused search, a search continuation retainer of $299 per month may be required, billed once a month in advance while the search remains active. If you choose to resume, you provide a payment method and authorize recurring monthly retainer charges to it. Retainer payments are credited against the placement fee, up to the full fee, if you hire a HirePrism candidate for that role.

You can stop retainer payments or end a search at any time. The retainer then stops at the next billing date, and the current month is not refunded. If you stop responding to introductions, we may also pause the search.

6. Pausing and ending searches

HirePrism may pause or end any search at any time, with cause or for no reason at all, by notifying you.

Ending a search with cause

Reasons we may end a search with cause include, for example:

  • You break these terms, including the good-faith hiring commitments in section 5.
  • An invoice or retainer payment is not paid when due.
  • You stop responding to introductions or to our messages for 10 business days or more.
  • The role is put on hold, cancelled, materially changed, or filled from another source.
  • Information you gave us about the role, its compensation, or your authority to hire is inaccurate.
  • You share candidate information or recordings in a way section 10 doesn’t allow.
  • You contact or hire an introduced candidate outside HirePrism to avoid fees.
  • Candidates or our team are treated in an abusive, discriminatory or unlawful way.

Refunds when we end a search

If we end a search for no reason while you are paying the search continuation retainer, we will refund the unused, prorated portion of the current month’s retainer within 60 days. If we end a search with cause, retainer payments are not refunded.

Either way, fees for candidates we introduced before the search ended still apply under section 7.

7. Fees and payment

There is no charge to create an account or launch a search. You owe a placement fee only if you hire a candidate HirePrism introduced to you.

  • Amount. The placement fee is a percentage of the hire’s first-year base salary: 20% at the standard rate, or the founding-client rate in effect when you launched the search.
  • When a fee is owed. A fee is owed if you, or any company you share the candidate with, hire or engage a candidate HirePrism introduced within 12 months of the introduction, in any role and through any channel, whether as an employee or a contractor.
  • Invoicing. We invoice after the hire passes 30 days in the role. Invoices are due within 30 days.
  • Founding-client pricing. Founding-client pricing is a limited-time offer. We’ll give founding clients at least 30 days’ notice before it ends. Searches launched after it ends are billed at the rates then in effect.
  • Tell us when you hire. Let us know within 5 business days of an accepted offer to a HirePrism candidate, including the start date and first-year base salary.

8. Guarantees

30-day no-invoice guarantee

If your new hire leaves, or you let them go for performance or culture reasons, before day 30, we won’t invoice you for that placement.

90-day replacement guarantee

If your new hire leaves, or you let them go for performance or culture reasons, after day 30 but before day 90, we’ll run the search again for the same role at no additional fee.

The guarantees don’t apply to restructuring, role elimination or changes to the role’s requirements, or if the placement invoice wasn’t paid on time. Let us know within 10 business days of the hire’s last day to use a guarantee.

9. Introductions

An introduction happens when we share a candidate’s profile with you or connect you with the candidate by email or on the platform. If you already knew a candidate before our introduction, tell us within 2 business days of the introduction, with reasonable evidence, and that candidate won’t count as a HirePrism introduction.

10. Candidate information

Candidate profiles, recordings, screener notes and reference checks are shared with you only to evaluate candidates for your role.

  • Don’t download, copy, share or publish recordings or candidate information outside your company’s hiring team.
  • Don’t contact a candidate’s references or current employer without the candidate’s permission.
  • Delete candidate information you’ve saved outside the platform once you no longer need it for the search.

11. Acceptable use and restrictions

You agree not to do, or help anyone else do, any of the following:

  • Copy, modify or create derivative works of the platform, its design or its content, except as these terms allow.
  • Reverse engineer, decompile or disassemble the platform, or try to discover its source code or underlying methods, except where the law expressly permits it despite this restriction.
  • Access or use HirePrism to build, improve or train a competing product or service, or to benchmark it for a competitor.
  • Scrape, crawl or use automated tools to collect profiles, data or content from the platform.
  • Use HirePrism content or candidate information to train artificial intelligence or machine learning models.
  • Resell, sublicense or share access to the platform with anyone outside your company’s hiring team.
  • Access accounts that aren’t yours, interfere with the platform’s security or operation, or use it to send spam or unlawful content.

We may suspend or close any account that breaks these rules, in addition to any other remedies available to us.

12. Intellectual property

HirePrism owns the HirePrism platform, including its software, design, branding, name, logo and website content. Nothing in these terms transfers any of that ownership to you. You may use the platform only as these terms allow.

The HirePrism name and logo are trademarks of HirePrism. You may not use them without our written permission.

Some components of the platform, such as open-source software and fonts, are licensed to us by third parties and remain the property of their owners.

You keep ownership of the job descriptions and other information you provide. You give us permission to use it to run your searches and provide the service.

13. Confidentiality

Each of us will keep the other’s non-public business information confidential and use it only for the service. This doesn’t cover information that is public, already known, or independently developed, or that the law requires us to disclose.

14. Disclaimers

We work hard to vet every candidate, but candidates provide much of their own information, and we can’t guarantee that it is complete or accurate or that any candidate will succeed in a role. Except for the guarantees in section 8, HirePrism is provided “as is,” without other warranties to the extent the law allows.

15. Limitation of liability

To the extent the law allows, neither of us is liable for indirect, incidental, special or consequential damages, or lost profits. Our total liability for any claim related to HirePrism is limited to the fees you paid us in the 12 months before the claim.

16. Indemnification

You agree to defend and indemnify HirePrism against claims arising from your hiring decisions, your employment practices, or your misuse of candidate information or the platform.

17. Termination

You can close your account at any time. We may suspend or close accounts that break these terms. Fees for hires of candidates introduced before closing still apply, and sections 7 through 16 continue after an account closes.

18. Changes to these terms

We may update these terms. We’ll post the new version here with a new date, and give clients at least 30 days’ written notice of changes to fees. Searches already launched keep the fees that applied when they launched.

19. Governing law

These terms are governed by the laws of the State of Utah, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Utah.
